Job Purpose
The Senior Legal Counsel provides expert legal guidance to the company, ensuring compliance with all applicable laws and regulations, managing legal risk, and supporting strategic business initiatives. The role involves reviewing and negotiating complex contracts, advising on corporate governance, regulatory issues, and dispute resolution, and supporting cross-functional teams on legal matters across local jurisdiction.
Responsibility
Contract Management & Negotiation
- Draft, review, and negotiate a wide range of commercial agreements (e.g., NDAs, service contracts, supplier agreements, licensing, and technology contracts).
- Ensure contract terms protect the company’s interests and are compliant with applicable laws.
Corporate & Regulatory Compliance
- Monitor and advise on compliance with Saudi Arabian and international laws, including data protection, anti-bribery, and labor regulations.
- Ensure compliance with regulatory bodies such as the Ministry of Commerce, CITC, and Capital Market Authority (CMA) as applicable
Legal Risk Management
- Identify, assess, and mitigate legal risks associated with company operations.
- Proactively support business leaders on risk management strategies.
Dispute Resolution & Litigation
- Manage legal disputes, claims, and litigation in collaboration with external counsel.
- Represent the company in negotiations and mediations when required.
Intellectual Property (IP)
- Oversee the protection of intellectual property rights, including trademarks, patents.
- Advise on IP strategy and enforcement actions.
Employment Law
- Advise on employment contracts, employee relations, and internal policies.
- Ensure legal compliance with Saudi labor laws, Saudization/Nitaqat requirements, and internal disciplinary processes.
Mergers, Acquisitions, and Partnerships
- Provide legal due diligence and structuring advice on M&A, joint ventures, or strategic alliances.
- Support cross-border transactions and investment activities.
Legal Advisory
- Serve as a trusted legal advisor to senior management and other departments.
- Deliver legal training and awareness to internal teams.
Training & Awareness
- Conduct training on compliance, risk, fraud awareness, and internal controls.
- Promote ethical behavior and regulatory awareness across the organization.
Job Specifications
Education
- Bachelor’s degree in Law or Master’s degree in Law or Business Law.
- Licensed to practice law in Saudi Arabia
- Professional legal certifications or compliance credentials (e.g., CCEP-I, CIPP) are advantageous.
Experience
- Minimum 8–10 years of legal experience in ICT, or telecoms sector.
Knowledge & Skills
- Strong knowledge of KSA corporate and commercial law.
- Excellent contract drafting and negotiation skills.
- Ability to handle complex, high-stakes legal matters independently.
- Strong interpersonal and communication skills to advise business stakeholders.
- Commercial awareness and business acumen.
